Constitution
- Title
The name of the Association shall be The University of
London Church Choir (hereinafter referred to as "the
Association")
- Objects
The objects of the Association shall be to promote,
improve, develop and maintain public education in and
appreciation of liturgical choral music by the provision
of such music for Christian Church Services and by the
presentation of public concerts and recitals and by such
other ways as the Association through its Committee shall
from time to time determine.
- Membership
The Members of the Association shall be those who pay the
annual subscription at the appropriate rate or rates as
shall be determined by the Committee, all subscriptions
being payable on or before a date during the autumn term
of the University of London's academic year to be
determined by the Committee in each such year. Any new
member joining during the academic year shall pay a
subscription for that year at a rate discounted pro
rata determined by the treasurer, whose determination
shall be conclusive.
- Officers and Committee
The management of the Association shall be in the hands of a Committee
consisting of a Chairman, an Honorary Secretary and an Honorary Treasurer,
and not less than three and not more than six other members: Committee
members shall be elected for non-specific posts by and out of the
Association's members at the Annual General Meeting. At the first committee
meeting following an Annual General Meeting, Committee members shall elect
from amongst them, firstly a Chairman, and immediately thereafter an
Honorary Secretary and an Honorary Treasurer. In the event of a tied
election for the post of Chairman, a vote shall be discarded by lot. In
any other instance of a tied vote or election, including that of the
election of an Honorary Secretary and Honorary Treasurer, the Chairman's
casting vote shall be final. All Committee members, including Officers,
shall hold Office for a year and be eligible for re-election.
- Management
All the arrangements for the church services concerts and
other events and the control of the finance shall be in
the hands of the Committee
- The Director of Music
- The Director of Music shall be a person from time
to time appointed by the Committee for such
period or periods as the Committee may think fit
for the following purposes namely to direct
performances of music by the choir maintained by
the Association as aforesaid, to rehearse the
said choir, and to plan (in association with the
Committee) a programme of musical events in
furtherance of the objects of the Association
- The Committee may make such payments as shall be
necessary for the remuneration of the Director of
Music
- The Director of Music from time to time (if any)
shall be a member of the Committee ex officio.
- Finance
- The financial year shall end on July 31st
- A banking account shall be opened in the name of
the Association and cheques shall be signed by an
officer and an authorised committee member of the
Association.
- The Association may receive donations, grants in
aid and financial guarantees, and tickets for any
or all of its concerts and other events
(excluding Church services) may by offered for
sale to the public
- The income and property of the Association
whencesoever derived shall be applied solely
towards promoting the objects of the Association
as set forth above and no portion thereof shall
be paid or transferred either directly or
indirectly to any member or members of the
Association except in payment of legitimate
expenses incurred on behalf of the Association
- The Association may by its Committee engage and
make such payments as may be necessary for the
remuneration of instrumentalists and conductors
for any events organised by the Association in
furtherance of its objects.
- Dissolution
In the event of the Association being wound up any assets
remaining upon dissolution after the payment of proper
debts and liabilities shall be transferred to a
charitable institution or institutions having similar
objects to those of the Association
- General Meeting
- Within three calendar months of the end of the
financial year the members shall be summoned to
an Annual General Meeting of which at least
fourteen days' notice in writing shall have been
given
- Other General Meetings may be called by the
Committee at any time subject to at least seven
days notice in writing being given.
- Audited Accounts
The financial account shall be audited and submitted to
the members at the Annual General Meeting
- Amendments
The constitution may be amended by a two-thirds majority
of the members present at an Annual or Special General
Meeting, provided that fourteen days' notice of the
proposed amendment has been sent to all members and
provided that nothing herein contained shall have the
effect of the Association ceasing to be a charity.
